By proceeding, you acknowledge and agree to the following Terms & Conditions with Essence of Bali ("the Company"), its founder Mathieu Gachignard, and all yoga teachers, energy practitioners, facilitators and assistants operating under the Essence of Bali umbrella (together, "the Providers"). 1. NATURE OF SERVICES. Classes, private sessions, workshops, energy session and events are offered for general wellbeing, relaxation and personal exploration. They are not medical care, psychotherapy, or a substitute for professional medical advice, diagnosis or treatment. The Providers are not licensed medical doctors. Always consult a qualified healthcare professional before beginning any new physical or wellness practice. 2. ASSUMPTION OF RISK — PHYSICAL & MOVEMENT PRACTICES. Yoga, movement, breathwork and any physical activity carry inherent risks, including muscle strain, injury, or aggravation of a pre-existing condition. You confirm that you participate voluntarily, that you are in a physical condition that allows you to take part safely, and that you assume full responsibility for your own body, limits and wellbeing. You agree to listen to your body, to inform the teacher of any injury, pregnancy, medical or physical condition, and to stop or rest at any time. 3. LIABILITY WAIVER & RELEASE. To the fullest extent permitted by law, you release, waive and hold harmless Essence of Bali, Mathieu Gachignard and all Providers from any and all claims, liability, injury, loss or damage of any kind arising from or connected to your participation in any class, session, workshop or event, whether on-site or elsewhere, and whether arising from negligence or otherwise. You participate entirely at your own risk. 4. HEALTH DECLARATION. You confirm that the information you provide is accurate and that you have disclosed any condition that could affect your safe participation. 5. PAYMENTS. Payments are processed securely by Stripe; we do not store your card details. Bookings are non-refundable unless otherwise stated, but may be rescheduled at the Provider's discretion subject to availability. For yoga classes and certain events, your payment is settled directly to the teaching instructor's account. 6. PRIVACY. Your name and email are used only to confirm your booking, send your receipt and details, and reply to you. We do not sell or share your information. 7. CONDUCT. Please arrive on time and treat teachers, guests and spaces with respect. The Providers may decline or end participation where safety or wellbeing is at risk. 8. ONLINE (REMOTE) SESSIONS. For sessions delivered remotely by video call ("Online Sessions"): (a) every provision of these Terms — including the liability waiver and release in Section 3 — applies in full to Online Sessions, wherever in the world you participate from; (b) you are solely responsible for your own equipment, internet connection, software and a safe, private environment, and the Providers accept no liability for technical failures, interruptions or connection issues on your side — if a session is interrupted by a failure on the Provider's side, it will be rescheduled at no extra cost; (c) your session link is strictly personal and must not be shared, and no part of a session may be recorded, captured or transmitted by either party without prior written consent; (d) Online Sessions are offered for general wellbeing, relaxation and education only — they are not medical care, psychotherapy, crisis intervention or emergency support of any kind, no specific result or outcome is promised or guaranteed, and you remain solely and fully responsible for any decision, action or omission you take during or after a session; (e) if you do not attend at the booked time, the session is deemed delivered and is non-refundable; arriving late does not extend the session; (f) you confirm you are at least 18 years old (or have the consent of a legal guardian) and that participating in an Online Session is lawful in your place of residence — you are responsible for compliance with your local laws. 9. INSTRUCTORS, TEACHERS, PRACTITIONERS & FACILITATORS — PROVIDER AGREEMENT. This Section applies to every yoga teacher, energy practitioner and facilitator who offers any class, session, workshop or event through Essence of Bali ("the Provider"). By onboarding, listing availability, accepting bookings and/or receiving payouts through Essence of Bali, the Provider acknowledges, accepts and is bound by the following in full, as a condition of being validated and activated on the platform: (a) INDEPENDENT STATUS. The Provider acts as an independent, self-employed professional and not as an employee, agent, representative or partner of Essence of Bali or Mathieu Gachignard. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship. The Provider is solely responsible for their own income taxes, VAT, social-security and all other charges, declarations and registrations, and warrants that they hold all valid and current professional qualifications, diplomas, certifications, first-aid competence and professional liability / civil-liability insurance required to deliver their services lawfully. (b) REVENUE SPLIT & VENUE / RENTING FEE. For each paid yoga class, the Provider receives ninety percent (90%) of the class price, paid directly to the Provider's own connected Stripe account, and Essence of Bali retains ten percent (10%) of the class price as a venue, space-rental and administration fee. All payments are collected and settled by Stripe; Essence of Bali never takes possession of or holds the Provider's funds. Essence of Bali may revise this fee percentage at its discretion from time to time; any such revision takes effect on the first (1st) day of a calendar month, and the Provider's continued use of the platform on or after that date constitutes acceptance of the revised percentage. For special events and workshops run by the Provider, Essence of Bali retains a platform fee set per event of between fifteen and twenty-five percent (15%–25%) of the event price, with the remainder paid to the Provider; events with no connected Provider settle in full to Essence of Bali. (c) OPTIONAL EXTRAS. Any optional add-on offered alongside a class (for example the "+€5 extras" pack: towel, Evian water, snack bar, syrup and chocolate) is a separate product sold by Essence of Bali. One hundred percent (100%) of the price of any such extras belongs to Essence of Bali and does not form part of the Provider's class price or revenue split. (d) PROVIDER'S RESPONSIBILITY & INDEMNITY. The Provider is solely and fully responsible for the content, planning, safety and conduct of their own classes, sessions, workshops and events, and for the screening and wellbeing of their own participants. To the fullest extent permitted by law, the Provider releases, defends, indemnifies and holds harmless Essence of Bali and Mathieu Gachignard from and against any and all claims, demands, liabilities, injuries, losses, damages, taxes, fines, penalties and costs (including reasonable legal fees) arising from or connected in any way to the Provider's acts, omissions, negligence, misconduct, qualifications (or lack thereof), insurance (or lack thereof), classes, sessions, equipment, statements or participants. (e) CANCELLATION, CONDUCT & TERMINATION. The Provider must honour confirmed bookings or arrange a fair reschedule or refund with the participant directly. The Provider shall act professionally, respectfully and lawfully at all times. Essence of Bali may suspend, de-list or permanently remove any Provider at any time and at its sole discretion, in particular where safety, wellbeing, professionalism, lawful conduct, valid insurance or valid qualification is in doubt, without liability of any kind. (f) DATA, CONFIDENTIALITY & NON-SOLICITATION. The Provider shall keep all participant data strictly confidential, use it solely to deliver the booked service, comply with all applicable data-protection laws (including the GDPR), and shall not use bookings or participant contacts obtained through Essence of Bali to divert, solicit or move clients off the platform. (g) ENTIRE TERMS, GOVERNING LAW & SEVERABILITY. This Provider Agreement, together with these Terms, constitutes the entire agreement between the Provider and Essence of Bali regarding the subject matter, supersedes any prior understanding, and is governed by French law. If any provision is held invalid, the remaining provisions remain in full force. By drawing your signature and confirming below, you certify that you have read, understood and agreed to these Terms & Conditions in full, on your own behalf.
